General conditions of sale
The following General Conditions of Sale apply to any request sent to the company Macrofarm Srl. Sending a request implies knowledge and approval of the above conditions, which prevail over any other clause or provision, unless agreed in advance in writing and signed by both parties. Requests received by e-mail or telephone imply acceptance of the General Conditions of Sale. Any additional provisions or conditions of purchase contrary to these, even if included in the customer’s request, will be considered null and void unless specifically agreed upon between the parties.
1. ORDER
Each order must always detail the quantity, technical specifications, and all elements essential for accurate product identification. The customer is required to provide all necessary information to ensure correct processing of technical specifications and to communicate all details on the final use of the products. The prices indicated in the confirmed order will remain stable unless further specifications are made by Macrofarm Srl.
2. DELIVERY AND SHIPPING
Unless otherwise provided in writing, delivery times for goods are approximate and not binding. Any delay in delivery will not entitle the buyer to penalties or compensation, nor will it result in termination of the contract. All risks associated with the transportation of the goods ordered shall be borne by the buyer, even if the sale provides for delivery free at destination. The liability of the company Macrofarm Srl ceases when the goods are delivered to the carrier. In the absence of specific instructions from the buyer, the products will be shipped by the means deemed most appropriate, without any responsibility for the choice on the part of the seller. Transportation costs, unless otherwise agreed, shall be borne by the buyer. The company Macrofarm Srl reserves the right to make partial deliveries, with separate invoicing according to the terms agreed in the order confirmation.
3. PRODUCT FEATURES
Technical specifications of products, as presented in brochures and price lists, may be subject to change for technical or commercial requirements, subject to prior notice. Please note that sales brochures and price lists do not constitute a binding offer; all information and illustrations contained are descriptive and indicative. It is forbidden to copy, translate or reproduce, even partially, the contents without prior written authorization from the seller. The company Macrofarm Srl respects the technical specifications indicated in the product data sheet. Any complaints must be submitted within 20 working days, accompanied by documentation supporting the complaint and evidence regarding how the product was stored.
4. PRICES
Unless otherwise specified in the Order Confirmation, the prices quoted are exclusive of all taxes and additional charges related to transportation, insurance, shipping, storage and other similar charges, which are the responsibility of the Customer.
5. PAYMENTS
Payments must be made in the manner indicated on the order accepted by Macrofarm Srl. After the agreed payment deadline has elapsed, default interest may be charged, without the need for prior notice, in accordance with Article 5 of Legislative Decree No. 231 of 2002, without prejudice to rights to additional damages. In case of non-compliance by the customer with the terms and conditions of payment, the company Macrofarm Srl reserves the right to take the following actions:

- Require immediate payment of all receivables due to the forfeiture of the term;
- Suspend ongoing supplies or complete them only upon advance payment;
- Withdraw from all further contracts entered into with the customer and terminate ongoing negotiations;
- Terminate the contract in accordance with Article 1456 of the Civil Code. In the event of termination of the contract, the customer will be required to pay in full to Macrofarm Srl what is due and to compensate all damages suffered as a result of the breach of contract.

6. COMPLAINTS AND RETURNS.
Complaints regarding any tampering or shortage of materials must be made directly by the consignee to the carrier. The consignee is required to report obvious defects within eight days of receipt of the goods and hidden defects within eight days of their discovery. It is important to note that complaints cannot result in either cancellation or reduction of the order by the customer, nor can they result in a claim for compensation by Macrofarm Srl. In addition, payment cannot be delayed beyond the established due date. Any return must be agreed in advance with the company Macrofarm Srl and will be accepted only if the material and its packaging are intact. Goods subject to a claim must be returned at the customer’s expense, accompanied by a note indicating the reasons for the return.
THESE GENERAL TERMS AND CONDITIONS FORM AN INTEGRAL AND BINDING PART OF EVERYTHING SPECIFICALLY SET FORTH AT THE BOTTOM OF EACH AND EVERY PRINTED OR DIGITAL BUSINESS DOCUMENT.
